SEC grants temporary conditional relief for certain tokenized US stock venues

On 17 September 2026 the US Securities and Exchange Commission announced an order giving temporary, conditional exemptive relief so that defined tokenized-securities venues can trade tokenized National Market System stock. The relief is conditional, temporary, and limited to venues that meet the order. It is not approval of every tokenized trading platform.

Key facts

  • Press release 2026-90 is dated 17 September 2026.
  • The relief is temporary and conditional, for defined tokenized-securities venues trading tokenized NMS stock.
  • The release says the exemptions expire five years after publication and does not give a Federal Register date.

The SEC’s press release, numbered 2026-90, says the order grants tokenized-securities venues relief from the definition of an exchange so they can trade tokenized NMS stock using permissioned automated market makers and liquidity pools. It also describes a temporary conditional exemption from the dealer definition for certain liquidity providers in those pools who supply tokenized NMS stock with proprietary capital and may quote or commit capital. The Commission asked for public comment.

The release lists conditions. They include limits on the number of symbols and the volume traded, a check that the tokenized stock gives holders the same rights and privileges as the equivalent traditional NMS stock, written notice and a chance to object for the issuer when an unaffiliated party tokenizes the stock, smart contracts that are auditable and public and deployed on a public permissionless ledger, a stop in the tokenized stock when the primary listing exchange stops trading the underlying stock, and public notice of the venue’s operations and of affiliate trading. Those conditions are the press release’s list. This briefing has not restated the order paragraph by paragraph.

The exemptions are set to expire five years after publication. The release says the order will be published on SEC.gov and in the Federal Register. It does not give the Federal Register date, so this page does not calculate an expiry day. Chairman Paul S. Atkins and the Director of Trading and Markets describe the step as temporary and as a first step while the Commission considers further action. A platform that is not a tokenized-securities venue under the order is outside the relief the release describes.

Why it matters for investors and traders

The order is a market-structure measure for a defined kind of venue that wants to trade tokenized versions of US listed stock. It matters to tokenization and to how a secondary trade might be organised. It does not licence an arbitrary crypto platform to trade US shares.

Markets discussed: Securities, Digital assets. These are the subjects of the briefing, not a list of markets that moved.

Uncertainties

  • The Federal Register publication date is not in the press release, so the five-year expiry is not given a calendar day here.
  • Comment was requested. Later changes to the relief are not known.
  • Whether a particular venue meets the conditions is not decided on this page.

What to watch next

  • Read the order, not only a platform’s description of it, before treating a venue as covered.
  • Check the conditions on rights, halts, volume and issuer notice.
  • Do not treat a tokenized product outside NMS stock, or a venue outside the order, as approved by this exemption.
